1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and THŌNE Studio Ltd ("KNVRTs", "we", "us", or "our"), Company Number 16482399, governing your use of the KNVRTs website at knvrts.com and all services offered through it (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

KNVRTs is a sales intelligence agency. Our primary offering is a Free Sales Call Audit, which consists of an expert analysis of a recorded sales call submitted by you through our website.

The Free Audit includes:

Review and analysis of your submitted sales call recording
A summary audit report delivered to you by email
Identification of key areas for improvement in your sales process

Following the Free Audit, we may propose additional paid consulting services tailored to your situation. These services are entirely optional, discussed on a case-by-case basis, and governed by separate individual agreements. You are never obligated to purchase anything after receiving a Free Audit.

3. Eligibility

To use the Service, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Represent a legitimate, operating business
Use a professional email address (free email providers such as Gmail, Yahoo, Hotmail, and similar are not accepted for audit requests)
Provide accurate and complete information
Not be prohibited from using the Service under applicable law

4. Free Audit Program

4.1 Scope and Limitations

The Free Audit is offered as a complimentary, no-obligation service. It is subject to the following conditions:

One per business: Each business entity is entitled to one (1) Free Audit only. Submitting multiple requests for the same business, under different names or contacts, is prohibited.
Right to refuse: KNVRTs reserves the absolute right to refuse any audit request, at its sole discretion, without providing justification. Not all submissions will be accepted.
No guarantee of acceptance: Submitting the audit request form does not guarantee that an audit will be performed.
Discontinuation: We may modify, suspend, or discontinue the Free Audit program at any time without prior notice.

4.2 Deliverable

If your request is accepted, the Free Audit produces a summary report delivered to you by email within the timeframe communicated during the process (typically within 24 hours). This report contains our professional assessment and recommendations. It does not constitute a guarantee of results.

4.3 No Obligation

The Free Audit does not create any obligation on your part to purchase further services from KNVRTs. It does not create an ongoing contractual relationship. You may choose to engage our paid services after the audit, but this is entirely voluntary and subject to a separate agreement.

5. Paid Consulting Services

Following the Free Audit, KNVRTs may offer paid consulting services. These services are:

Proposed on a case-by-case basis, tailored to your specific needs
Governed by separate, individual agreements with their own pricing and terms
Never mandatory or tied to the Free Audit in any way

No paid service will begin until you have accepted the applicable terms and completed payment. Payment terms, deliverables, and scope will be communicated before any transaction.

6. Your Responsibilities

6.1 Call Recording Consent

You represent and warrant that:

You have obtained all necessary consents from all parties present on the recorded call
You have complied with all applicable laws and regulations regarding call recording in your jurisdiction
You have the legal right to share the recording with a third party for analysis purposes

You are solely responsible for ensuring compliance with recording consent laws. KNVRTs accepts no liability for recordings submitted without proper consent.

6.2 Accurate Information

You agree to provide truthful and accurate information in your audit request form, including your business details, sales context, and call outcomes.

6.3 Prohibited Uses

You may not:

Submit recordings of illegal activity
Submit recordings without proper consent from all parties
Misrepresent your identity or business
Resell, redistribute, or publicly share audit reports
Reverse engineer or copy our audit methodology or Protocol
Use the audit results to harm, harass, or defame any party on the recording
Upload malicious files or harmful content

7. Intellectual Property Rights

7.1 Our Intellectual Property

THŌNE Studio Ltd owns all rights to:

The KNVRTs Protocol, audit methodologies, and scoring systems
All software, algorithms, and AI models used in the Service
Audit report templates and frameworks
The KNVRTs brand, logos, and trademarks
All website content, design, and code

7.2 Your Intellectual Property

You retain full ownership of:

Your sales call recordings
Your business information and proprietary sales processes
Any materials you submit through the Service

7.3 License Grant

By submitting materials for audit, you grant KNVRTs a limited, non-exclusive, revocable license to process, analyze, and store your data solely for the purpose of providing the audit. This license terminates upon completion and delivery of the audit report, subject to our data retention policy.

8. Confidentiality

8.1 Our Confidentiality Commitment

KNVRTs treats all data you submit through the Service with strict confidentiality equivalent to a Non-Disclosure Agreement (NDA). Specifically:

Your sales call recordings, business information, and audit results are treated as strictly confidential
We will not share, sell, publish, or disclose your data to any third party, except to the limited service providers necessary to operate the Service (see our Privacy Policy)
We will not use your data for marketing, case studies, training materials, or any purpose other than producing your audit report
All personnel with access to your data are bound by confidentiality obligations

8.2 Survival

Our confidentiality obligations survive the completion of the audit and the termination of any relationship between us. They remain in effect indefinitely for trade secrets and for a minimum of five (5) years for all other confidential information.

8.3 Our Confidential Information

The KNVRTs Protocol, scoring methodologies, and proprietary processes are our confidential information. You agree not to disclose, copy, or reverse-engineer them.

9. Disclaimers and Limitations of Liability

9.1 No Guarantee of Results

The Free Audit and any paid services provide professional opinions and recommendations. We do not guarantee any specific sales outcomes, revenue increases, or business results.

9.2 Service "As Is"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 Limitation of Liability

To the maximum extent permitted by law, THŌNE Studio Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data. For the Free Audit, our total liability is limited to zero (0), as the service is provided at no charge. For paid services, liability is limited to the amount paid under the relevant individual agreement.

9.4 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under UK law.

10. Indemnification

You agree to indemnify and hold harmless THŌNE Studio Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your violation of these Terms
Your violation of any law or third-party rights
Your failure to obtain proper recording consent
Your use of the Service

11. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you confirm that you have read and accepted our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. For material changes, we will make reasonable efforts to notify you. Continued use of the Service after changes constitutes acceptance.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of England and Wales.

Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Informal Resolution: Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting halsius@knvrts.com.

14. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and KNVRTs regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
Survival: Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination of these Terms.
